REM Terms & Conditions (‘the Terms’)

Terms
All orders placed by you for the products (‘the Products’) set out in this latest edition of the brochure (‘the Brochure’) with REM UK Limited (company number 03094826) whose registered office is at Glenfield Mill, Glenfield Road, Nelson, Lancashire, BB9 8AW (‘We’, ‘Us’, ‘Our’) are subject to these Terms and by placing an order with Us you signify your acceptance of these Terms.

Description of the Products
We sell the Products at the prices set out in this Brochure (‘the Price’). All Prices exclude and are subject to the applicable rate of VAT at the time of delivery. Should errors in this pricing be evident, we reserve the right to decline your order and and give you the option of continuing to purchase them at the correct price or cancelling your order. At no time are We obliged to provide the Products to you at an incorrect price.

The Products are sold subject to their description and all images are for illustrative purposes only, the Products may vary slightly from those images. We take care to ensure that all descriptions, details and images are correct but cannot guarantee that they will be accurate when you place an order.

Making an Order
Orders may be placed by contacting Us by email via the details set out in this Brochure and by doing so you acknowledge that you are a business (not a consumer) and are making an offer to Us to purchase the Products. If the Price or specification of the Products that you order is different to that set out in the Brochure then We shall inform you at the time of the order. We reserve the right at Our absolute discretion to either accept or reject your offer and you acknowledge that no contract shall be formed for the purchase of the Products until such time as We accept your offer.

Payment Terms
We shall issue you with an invoice, upon despatch of the goods ordered.

Holders of an REM Trading Account are required to pay the invoice by the 20th of the following month (‘the invoice Date’).

Any variance to these terms will only be permitted with prior written agreement of REM Accounts Department.

Non trading account holders will be required to pay for the goods in full, upon order, prior to despatch.

Delivery
For UK Mainland all prices include the cost of delivery to the main entrance of your premises as notified to Us at the time of order. Eire, Northern Island and Offshore Islands will be quoted POA. However, for Mainland orders less than £200 plus VAT shall be subject to a £15 plus VAT minimum carriage and handling charge. If you would like Us to deliver direct to a salon then this is done at Our absolute discretion and where agreed, subject to an additional charge. We shall use reasonable endeavours to make delivery of the Products in accordance with your requirements and will notify you of an estimated day for delivery. For the avoidance of doubt time for delivery is not of the essence and We accept no liability to you whatsoever arising out of suspension or delay in delivery or for non-delivery. If We are invited to place the Products in position at the delivery address or at a salon We may do so as your invitee, if possible, but We shall not be liable for any damage to your property or that of others occurring in the course of delivery of the Products to you.

Postponed Delivery & Storage
We do not hold or store goods and manufacture to order. Therefore, if you fail to accept the delivery of the goods at the date confirmed to you on placement of your order penalties may be incurred.

At our discretion and depending on the size and value of the order, storage of goods will be charged at a minimum fee of £10 per day. Should it be necessary for us to store these goods on Third Party Premises, any such charges to REM will be recharged to you. Any such charges should be cleared before subsequent delivery can take place. Any damages due to Third Party storage are not the responsibility of REM.

Title and Risk
Subject to your rights in respect of damages all Products are delivered to you at your own risk and We shall not be liable to you for any damage to the Products during transit. Title in the Products shall not pass to you until the Price is received by Us in full. We shall be permitted to repossess any Products to the value of your liability to Us and you shall permit and facilitate Our access to the location of any Products.

Should you sell the Products prior to title passing to you, you shall hold all proceeds of sale on Our behalf and shall immediately account such proceeds to Us to the extent of your liability to Us.

Damages
You must inspect the Products and notify Us via email to remsupport.co.uk of any damaged Products or the receipt of any Products which you did not order within 3 business days of receipt of the Products. We reserve the right at Our absolute discretion to either repair the damaged Products, replace the damaged Products or refund the Price (or a proportionate part) where you notify Us in accordance with this clause. We may require photographic evidence in support of a claim for damages. Failure to notify Us of any damages in accordance with this clause shall be deemed acceptance of the Products by you in satisfactory condition and We shall have no ongoing obligations in that respect.

REM Returns Policy
All defects arising from faulty materials or poor workmanship; or defects arising from transport damage will be returned to Us at no cost to the customer. Where We agree to replace a product, the replacement item will be charged to the customer’s account.

The returned unit will be credited in full once it has been received back at REM. In cases where the reported fault cannot be found, no credit will be authorised.

Unwanted goods, or items not meeting customer requirements; which are free from the defects listed above and in its original packaging will be considered for credit by a duly appointed representative of REM. A minimum charge of £60 will apply and will be communicated before the returns order is processed.

Items manufactured to the specific requirements of the customer (such as made-to-order furniture and upholstery; and bespoke furniture) are non-returnable. If the item is faulty it will be replaced or repaired at Our cost, as per our terms and conditions.

REM Cancellation Policy
The cancellation of any order made prior to despatch shall be subject to the following charges:

  1. A stock item that can be placed back into Our stock – £15 per item
  2. For any Product made to order or any Bespoke furniture the following matrix applies:
Cancellation Occurring Charge
4 weeks or more prior to delivery date £15
3 weeks prior to delivery date 35% of sale value
2 weeks or less prior to delivery date 100% of sale value

Liability
We are under no liability in respect of any defect arising from fair wear and tear, wilful damage, negligence, abnormal working conditions, failure to follow Our instructions, misuse, or alteration or repair of the Products not carried out by Us. Except in respect of death or personal injury caused by Our negligence and subject to Our statutory rights We shall not be liable to you in any way for losses suffered by you whether direct, indirect, special or consequential arising out of or in connection with the supply of the Products.

REM Warranty
Upon receipt of notice in writing of defective Products within 3 years from the date of purchase. We shall at Our absolute discretion repair or replace them. Within the first year from the date of purchase parts and labour are covered by this warranty and thereafter only parts are covered and for the avoidance of doubt labour shall be met at your cost.

REM Warranty – Notable Exceptions

  1. Miranda Dryer is covered by 12 month warranty only.
  2. Visors on REM Hood Dryers are covered by Warranty for transit damage only
  3. Apollo, Apollo Lux, Studio, Penta and Blush Trolleys are covered by 12 month warranty only.
  4. Handsets for REM Electric Couches are covered by Warranty for the first 12 months.
  5. Any repairs carried out by REM personnel or accredited REM engineers have a 3 month guarantee.

REM Warranty – Other Exceptions

  1. Upholstered seats are covered by a 3 year warranty except for where cloth gathers or stretches under use.
  2. Dryer Pole Wing Nuts are considered a wearable part and not covered by warranty.
  3. Hoses for REM washpoints are considered a wearable part and not covered by warranty.
  4. Stained upholstery due to hair dye and other products are not covered by warranty.
  5. Stained upholstery due to denim or similar are not covered by warranty.
  6. Stained work surfaces due to nail varnish and similar products are not covered by warranty.
  7. Cracked mirrors are not covered under warranty unless it was cracked during delivery. These must be reported within 72 hours of delivery.
  8. Any items damaged in transit are only covered by warranty if delivered on REM vehicles or subcontractors. Any items collected by customers or where collection has been arranged by customers are not covered for any transit damage.
  9. Any items purchased from REM Clearance stock, invoiced on a code beginning with 3045 are not covered by warranty.
  10. Any items purchased from Ebay or similar are not covered by warranty.

Intellectual Property
The content of this Brochure is protected by copyright, trade marks, database right and other applicable intellectual property rights. You may use the Brochure for personal reference and may draw the attention of others to it provided you keep intact all and any copyright and proprietary notices.

Third Parties & Entire Agreement
No person not a party to these Terms shall have any rights in relation to them. These Terms and the documents referred to herein set out the entire agreement between the parties in connection with its subject matter and neither party has entered into these Terms in reliance on any warranty, representation or statement made by the other which is not set out in these Terms.

Notices
All notices and communications required to be sent by you shall be made and sent by e-mail to sales@rem.co.uk or first class post to Our address as stated above. All notices and communications required to be sent by Us shall be made and sent by e-mail to the e-mail address or post to the postal address provided to Us by you when you placed your order. If served, notice shall be deemed to have reached the party to whom it is addressed on the next business day following the day of service.

Waiver & Severance
The failure of either party to require performance of any provision hereof shall not affect its right to enforce such provision at a later time. No waiver by either party of anything contained in these Terms shall be or deemed to be a further or continuing waiver. If any of these Terms are declared unenforceable the parties shall amend the relevant part to achieve the intention of the parties without illegality or at Our discretion that part may be severed from these Terms in which event the remaining Terms and the remaining part of the relevant condition shall remain in full force and effect.

Force Majeure
Both parties will be released from their respective obligations in the event of national emergency, war, prohibitive governmental regulations, import or export regulations or embargoes, industrial actions or trade disputes, difficulties in obtaining raw materials, labour, fuel, parts or machinery, default of suppliers, power failure or breakdown in machinery or any other cause beyond the reasonable control of the parties rendering performance impossible provided that this condition shall only have effect at Our discretion except when such event renders performance impossible for a continuous period of 2 calendar months.

Law & Jurisdiction
These Terms shall be governed by English law in every particular and any proceedings arising out or of in connection with the website or the order for Goods may be brought in any court of competent jurisdiction in England and Wales.
